End User License Agreement

1. Acceptance of Terms

By accessing or using Continental Internal Tools (the "Application"), the authorized user agrees to be bound by the terms of this End User License Agreement (the "Agreement"). The Application is licensed, not sold, by Continental Fleet and Equipment Company, Inc. ("Continental") to authorized personnel only.

2. Internal Use Only

The Application is provided exclusively for internal business administration and operations of Continental Fleet and Equipment Company, Inc. The Application is not distributed to, licensed to, or available for use by any third party. There are no public end users.

3. Authorized Users

Use of the Application is restricted to officers, employees, and contractors of Continental who have been expressly authorized by Continental's leadership. Unauthorized access is prohibited.

4. Permitted Use

Authorized users may use the Application solely for legitimate business purposes including, without limitation: managing chart of accounts, generating invoices and journal entries, categorizing bank transactions, performing reconciliations, and supporting financial reporting workflows within Continental's QuickBooks Online environment.

5. Restrictions

Authorized users may not (a) sublicense, sell, or distribute the Application or any portion thereof; (b) reverse engineer, decompile, or disassemble the Application; (c) use the Application to access data of any entity other than Continental Fleet and Equipment Company, Inc.; or (d) use the Application in any manner that violates applicable law.

6. Intellectual Property

All right, title, and interest in and to the Application, including all intellectual property rights, are and shall remain the exclusive property of Continental Fleet and Equipment Company, Inc.

7. Third-Party Services

The Application integrates with the Intuit QuickBooks Online Public Accounting API. Authorized users acknowledge that use of the Application is subject to Intuit's terms of service and that Intuit's services are governed by Intuit's own agreements.

8. No Warranty

The Application is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. Continental disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Continental shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of the Application.

10. Termination

Continental may terminate any authorized user's access to the Application at any time, with or without cause, with or without notice. Upon termination, the user must cease all use of the Application.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
